We are offering you the opportunity to invest in the further expansion of the premium fitness studio network UFC GYM. In Germany, 3 UFC GYM studios have already been opened and are successfully in operation! The project envisages the opening of 11 additional company-owned and 25 franchise clubs in the period from 2025 to 2030, with required investments of €24–32 million and a projected high return.
UFC GYM Germany is presenting a comprehensive program to build a network of premium fitness studios across Germany. The strategy involves an intensive business expansion following a combined model that includes both the operation of its own facilities and the active development of a franchise network.

The project is based on the experience of the existing studios in Berlin and Hamburg, which confirm the efficiency of the business model. The concept is based on the proven operating and financial model of the international UFC GYM franchise, which is present in more than 40 countries.
The financial model of the project is based on the key performance indicators of the UFC GYM studios. The project management is carried out by the board of UFC GYM Germany, which has extensive experience in building fitness studio chains. It is expected that the total number of customers will increase to 28,000 by 2030, ensuring a stable revenue source and long-term profitability of the investments.
The unique selling proposition consists of the combination of the global sports brand UFC with the latest technologies in the fitness industry and a business model adapted to the German market. This approach minimizes the risks for investors while offering high earnings potential.
Currently, 3 of the planned 14 own UFC GYM Germany fitness studios are already successfully in operation. The remaining 11 clubs require significant investments. Let's take a closer look at the detailed cost structure and the expected key performance indicators for this part of the project.
After achieving operational stability, which typically takes 12-18 months, each club will have the following key performance indicators. The experience of the existing clubs confirms these forecasts:
Average annual revenue per club (€1.2-1.5 Mil.)
Targeted EBITDA margin (25-30%)
Projected annual return on investment
Total operating profit of all 14 own clubs
The financial model corresponds to the general investment parameters of the project (€24-32 Mil.) and takes into account additional revenue from the management of the franchise network with 25 studios, which was mentioned in the project overview. The presented key figures confirm the viability of the business model.
The existing studios demonstrate the efficiency of the business model and stable financial results. Each investment model was developed considering various investment strategies and differs in terms of investment volume, projected return, and implementation period.
Up to 25% stake in the entire UFC GYM Germany company is available for acquisition. The current company valuation is 10 million euros. Considering the projected profits for the three-year period (cumulative EBITDA of approximately 10.7 million euros by 2027), the company valuation reaches 26.2 million euros. For a 25% stake in the company, the investment contribution is 6.55 million euros. Strategic investors will have access to the existing clubs and the entire future network.
Variant A - Structured financing with guaranteed return. Investment range: 500,000 to 3,000,000 euros. Investment period: 2-3 years (2025-2027). Guaranteed annual return: 8-12% with additional premium payments upon achievement of project goals. The investments will flow into the expansion of existing clubs as well as the opening of new clubs.
Variant B - Direct investments in the company's capital. Investment range: 1,000,000 to 6,550,000 euros (up to 25% stake). Investment period: 5 years (2025-2030). Projected annual return: up to 25%, with the possibility of strategic participation. The investor will become a co-owner of the existing network as well as all future studios.
Variant C - Acquisition of exclusive rights to develop and manage a club network in a specific region. Investment range: 1,500,000 to 3,000,000 euros. Investment period: 5-10 years. Projected annual return: 20-30% with the right to expand to up to 25 franchise clubs by 2030. In this variant, the investor will have access to the experience and management methods of the existing network.
All investment conditions are subject to individual coordination. This includes the structuring of buyback rights, a premium payment system, and control mechanisms for the investor.
Various exit options are provided for investors: with a fixed exit (buyback of the stake at an agreed premium), complete sale of the existing club, or acquisition of a majority stake (50-80%). UFC GYM Germany will continue to provide comprehensive support in operational management and marketing.
The financial plan for the expansion of the UFC GYM Germany network shows continuous growth in the key operating and financial metrics throughout the entire project duration. The success of the existing fitness studios in Germany confirms the viability of the business model and provides a solid foundation for further expansion. These existing studios are the first steps in implementing the overall strategy, which envisages a gradual opening of new studios and the active expansion of the franchise system to ensure stable revenue and profit growth.

The projected total EBITDA over the entire period is around €38.9 million, confirming the high attractiveness of the project based on a proven business model and stable financial metrics.
The franchise program is a key element for the expansion of UFC GYM Germany and enables faster scalability of the business and diversification of revenues. These initial clubs confirm the viability of the concept in the German market and serve as a model for future franchisees. The plan calls for the opening of 25 franchise locations by 2030, which will expand the market presence in Germany while optimizing the capital costs of the parent company.
The profitability of the parent company from the franchise system comes from multiple sources: initial deposits, regular royalty fees, delivery of equipment and consumables, and marketing contributions. This structure ensures stable cash flows and high margins in the franchise business, which becomes one of the key drivers of the overall group's profit.
The investment offering from UFC GYM Germany provides significant advantages for various categories of investors - from individuals to institutional funds specialized in the fitness industry and the sports market.
Collaboration with the international network of UFC GYM, present in more than 40 countries, offers brand recognition and access to proven operational technologies. The connection to the UFC - the largest organization in the martial arts field - creates a marketing advantage and attracts a loyal audience.
The financial model is based on the actual metrics of existing clubs. Management is carried out by an experienced team with proven expertise in the fitness industry. Business processes are strictly regulated and digitized, ensuring transparency of operations and efficient control.
From fixed-rate loans to the acquisition of equity shares or master franchises - the investor can choose a format that aligns with their investment strategy, planning horizon, and risk appetite.
The project's value appreciation potential is attractive for investors with a long-term horizon. The projected company value in 5 years, considering 14 owned clubs and 25 franchise clubs, a consolidated revenue of 35,000,000 euros, and an EBITDA of 9,650,000 euros, is 60-80 million euros. This corresponds to a potential value increase of 6 to 8 times compared to the current value (10 million euros), significantly exceeding the average return of alternative investments.
An additional factor for the company's value is the development of intangible assets: expansion of the customer base, strengthening of the brand in the German market, building a team of professional managers and trainers, development of proprietary digital products and educational programs.
The German fitness market is one of the most developed and promising in Europe. With a volume of over 5.5 billion euros and more than 11 million active users, this sector is experiencing sustained strong growth after the COVID-19 pandemic.
The annual market growth rate is 3.5-4.5%, which is above the average of other service sectors. By 2030, an increase in market volume to 7.8 billion euros is expected.
The premium segment (15%) is experiencing the strongest growth and highest profitability. The mid-price segment (55%) remains the largest, while the budget segment (30%) is facing the strongest competitive pressure.
The highest concentration of fitness studios is in the western federal states (North Rhine-Westphalia, Bavaria). The eastern regions offer potential for the development of premium formats.
The market is characterized by high fragmentation: the 10 largest chains control only 30% of the market, creating favorable conditions for the market entry of new brands.
The main trend in the German fitness market is the growing demand for holistic solutions that combine traditional training with functional training, recovery practices, and digital services. Customers in the premium segment prefer multi-functional centers with personalized programs.
The analysis of consumer preferences has shown a significant interest in globally known, brand-oriented training concepts, which makes UFC GYM attractive for the German market. Studies show that 68% of customers in the premium segment are willing to pay 25-40% more for fitness services associated with well-known international brands.
An important success factor is the focus on technological components. Investments in modern equipment, software solutions for performance monitoring, and digital platforms for customer interaction are becoming a necessity in the premium segment, as customer loyalty is linked to the innovativeness of the services offered.
UFC GYM Germany is in an active expansion phase. The successful operation of studios in key German cities shows high operational metrics, confirming the demand for the premium fitness concept of UFC GYM. The gained experience provides valuable insights for further scaling of the network through both owned and franchise locations.
The current company valuation, conducted in April 2025, amounts to €10,000,000. This valuation takes into account both the company's current assets, including the already operational clubs, as well as its development prospects, including franchise potential and brand value in the German market.
So far, UFC GYM Germany has successfully developed its locations: a flagship club in Berlin with an area of 800 sqm, a club in the business district of Hamburg with an area of 1,200 sqm, and an innovative format in Leipzig with an area of 1,400 sqm. Each of these locations achieved profitability within the first 12-18 months.
The methodology for the company valuation is based on a combination of the following approaches:
An industry-standard multiple for premium fitness chains in the range of 6-8x of annual EBITDA was applied, which is standard for the fitness industry. This approach takes into account both the current operational profitability of the existing clubs and the projected profitability for the next three years.
To value the franchise potential, the Discounted Cash Flow (DCF) method was applied, which considers the projected revenue from franchise fees, licensing fees, and profit-sharing, as well as the costs for managing the franchise network. This approach is also based on the financial metrics of the existing clubs.
The company's key intangible assets were valued separately: the brand value of UFC GYM in the German market, the customer base considering the average customer lifetime, the team and accumulated knowledge, as well as the software and IT infrastructure developed specifically for managing the fitness studio network.
The projected enterprise value in 5 years, with a development from the existing clubs to 14 owned locations and 25 franchise locations, is €60-80 million. This valuation is based on a consolidated revenue of €35,000,000, an EBITDA of €9,650,000, and the application of a conservative multiple of 6-8x, which is typical for fast-growing companies in the premium fitness segment.
In addition to active development in Germany, UFC GYM Germany is considering a strategic expansion into the markets of the neighboring German-speaking countries - Austria and Switzerland. This direction is of particular interest to investors focused on the scalability of the business and geographic diversification.
The analysis of demographic indicators, the income level of the population, the competitive density in the premium fitness services segment, and the awareness of UFC as a sports brand suggests stable demand for the premium club format in Austria and Switzerland. These markets show similar characteristics of consumer behavior and trends in the fitness industry, which minimizes the risks of adapting the business model that has already proven its effectiveness in Germany.
The assessment of the expansion potential shows that by 2030 the opening of 5-7 clubs in Austria and 3-5 clubs in Switzerland is possible. This corresponds to the overall development strategy of UFC GYM Germany. To minimize operational risks and accelerate the pace of development, the preferred market entry scenario is franchising, mainly in the form of a master franchise.
The financing of the international expansion is planned according to the master franchise model, with the obligation to open clubs within 5 years with the support of centralized processes from UFC GYM Germany. The costs for opening a club correspond to the model tested in Germany (approximately 1 million euros), which has proven its effectiveness. The total investment potential in this direction, with the full implementation of the program, is estimated at 15 million euros, which is taken into account in the long-term valuation of the company at 60-80 million euros.
For each market, a local component is developed that takes into account the cultural peculiarities, the specifics of sports preferences, and the consumption habits of the target audience in the respective country, while maintaining the general standards of UFC GYM.
For the international expansion, a special team with experience in the target markets will be built. Key positions in the opened clubs will be filled by employees trained in the existing German branches.
To accelerate market entry into new markets, partnerships with local fitness operators, sports organizations, and trainers with a strong personal brand and customer base are planned. This approach corresponds to the partnership model with division of responsibilities described in the following sections.
Special conditions are provided for investors interested in international expansion, including exclusive rights to brand development in the target countries, an increased share of the franchise network's revenue, and the possibility of participating in the share capital of the parent company UFC GYM Germany. These conditions complement the basic valuation of the company at 10 million euros as of April 2025.
UFC GYM Deutschland offers flexible financing models that allow investors to vary the degree of control over the assets and participation in the operational business. The successful launch of the company in the German market confirms the effectiveness of the chosen business model and the development potential of the franchise.
Partnership with Division of Tasks is a hybrid model for the development of a specific region or group of clubs. The investor provides the financing and can contribute additional competencies (e.g. in the field of real estate), while UFC GYM Deutschland is responsible for the management, training, marketing and compliance with quality standards.
The participation conditions are individually agreed upon, taking into account the amount of investment, the investor's competencies and their strategic goals. All models include mechanisms to protect the interests of investors and are proof of the reliability of investments in the German market.
The company possesses a range of key competitive advantages that secure its stable position in the highly competitive German fitness services market and form the foundation for long-term successful business development.
The connection to the UFC - the world's largest organization in the field of combat sports with an audience of over 300 million fans worldwide. This ensures high brand awareness and attracts the target group.
Exclusive programs developed in collaboration with professional UFC fighters and adapted to different performance levels. The combination of functional training, martial arts, and classic fitness creates a unique offering on the market.
High service standards, individual support, modern equipment, and a pleasant atmosphere. All aspects of customer interaction are geared towards premium segment standards.
Coaching staff certified to UFC GYM standards and regularly trained. Including experts with experience in professional sports and the fitness industry.
Operating model that has proven its effectiveness in more than 40 countries worldwide and has been adapted to the specifics of the German market, taking into account consumer preferences and regulatory requirements.
An important advantage of UFC GYM Germany is the holistic approach to creating a sports club ecosystem that goes beyond traditional fitness services. The clubs offer specialized zones for functional training, martial arts, recovery, and an expanded range of additional services - sports nutrition, personal care, training programs, and community events.
A significant advantage is also the development of the digital business. UFC GYM Germany is introducing advanced technology solutions, including a mobile app for club members, training tracking systems, personalized digital programs, and integration with wearable devices. This ensures a seamless customer experience both within and outside the clubs.
These advantages enable UFC GYM Germany to effectively differentiate itself from fitness chain operators in the low and mid-price segments, as well as from local premium clubs without the support of a global brand and proven operating systems, and create a solid foundation for sustainable growth and the development of long-term customer loyalty.
The company's investment project, like any business in the fitness industry, is associated with certain risks. To create transparency, the company has conducted a comprehensive analysis of potential risks and developed appropriate measures to reduce them. The practical experience in managing existing clubs has enabled the company to effectively adapt the business model to local conditions and confirm the effectiveness of risk mitigation strategies.
UFC GYM Germany has developed a risk management system that includes an analysis of key indicators and scenario planning. The successful launch and operation of the clubs confirm the effectiveness of this system.
Establishment of a reserve fund of 10% of the investment budget to cover unforeseen expenses. Insurance of the most important business risks. Flexible investment models with the ability to adjust the pace of expansion to market conditions. These mechanisms have been successfully applied in the opening of the existing clubs.
Introduction of an early warning system to detect deviations in a timely manner. Regular operational audits of all locations, including franchise clubs. Central management of key business processes, including marketing, procurement, and personnel training.
Development of additional revenue streams: digital products, online training, sale of dietary supplements and branded clothing. Balanced ratio between owned and franchise clubs to optimize risks and cash flows. This approach is successfully implemented in the company's existing clubs.
To protect the interests of investors, the risk management mechanisms are integrated into the corporate governance system of UFC GYM Germany, including regular reporting to the Board of Directors and shareholders, as well as the involvement of independent auditors to assess the effectiveness of control procedures. The experience gained in the opening and management of the existing clubs has enabled the company to confirm the effectiveness of the chosen risk management approaches and make the necessary corrections to the risk mitigation strategies based on practical experience.
UFC GYM Germany offers a unique investment opportunity in the premium segment of the German fitness industry with potential for expansion into the Austrian and Swiss markets. The company has already successfully opened and operated clubs in Berlin, Leipzig, and Hamburg, demonstrating the efficiency of the business model and the high customer demand. Each of these clubs is operating above financial plans and experiencing stable membership growth. The project combines the strength of the global UFC brand, a professional management team, a proven business model adapted to the German market, and a comprehensive risk management system.
